Private Equity Fondo Austral acquires a minority participation in Producto Protegido

Bahamondez, Alvarez & Zegers Ltda. has advised Producto Protegido in the sale of a minority participation of its shares to the Private Equity Fund Fondo Austral.
Producto Protegido is a company leader in the security of goods market, with a system that allows owners to identify their goods in case they are lost or stolen. This system is connected to the police departments and the different prosecutor offices across the country.
Fondo Austral is one of the most important Private Equity Funds in the country, with its focus in technology companies.
The terms of the transaction were undisclosed.

Ipsos acquires Estudios Punto de Vista S.A.

Bahamondez, Alvarez & Zegers Ltda. has advised the seller in the disposal of 100% of the shares of Estudios Punto de Vista S.A. to the French multinational company Ipsos. Estudios Punto de Vista S.A. is one of the leading companies in market research and loyalty in Chile and Perú. It was the first Chilean research company to obtain the ISO 9001:2001 Quality Certification. Ipsos is a multinational company headquartered in Paris, France, with operations in approximately 60 countries worldwide.

Bahamondez, Alvarez & Zegers Ltda. has two new counsels since May 1st.
Sergio Concha has practiced Telecommunications Law, with extensive experience in Regulatory and Corporate Law. He joins BAZ from the legal department of Telefónica Chile, where he worked for more than 15 years.
Likewise, Carlos Stevenson has practiced Banking and Financing Law, with experience in Corporate Law, Labor Law and Litigation. He joins BAZ after 15 years as Chief Legal Counsel of Citibank N.A. in Chile.

Bahamondez, Alvarez & Zegers Ltda. is advising Needish S.A. in its financing. Needish S.A. is a Chilean Swedish start-up focused in the lead-generation business, with a very successful new concept.
According to the terms of the transaction, Needish S.A. has completed its first round of financing with local investors, and will start its operations in Sweden and the United States in 2008.

BAZ is advising Spanish Consortium in the international bidding process for Health Infrastructure

Bahamondez, Alvarez & Zegers Ltda. is advising the Consortium formed by Spanish companies Abengoa S.A., Constructora Hispánica, S.A. and Inabensa S.A. in the international bidding process of Health Infrastructure called by the Minister of Public Works (MOP). The members of the Consortium are companies with a broad experience in the construction, operation and management of high complexity hospitals in several countries.
According to the terms of the bidding process, the winner shall design, build and manage two hospitals in Santiago. The bidding process, in terms of investment in the construction of the hospitals, is valued in approximately US$300 Millions.

Blanca Palumbo elected for the Experts Panel

Blanca Palumbo, counsel of Bahamondez, Alvarez & Zegers Ltda. was elected on July 2nd as a new member of the expert’s panel of the Energy Law for a 6 years term.
The expert’s panel is a technical body created by the Energy Law to solve disputes among energy companies. The members of such panel are outstanding persons with a deep knowledge of the energy sector.

Recently the Institute Libertad y Desarrollo published the book “Sentencias Destacadas 2006” (“Highlighted Decisions 2006”). The book includes an article written by our partner Felipe Bahamondez titled “Pricewaterhouse: Responsibility of external auditors for its professional services”. The article analyzes the decisions of the Supreme Court regarding the responsibility of firms of external auditors and points out the need of a revision of such responsibility. Law 20,160 about Unfair Competition was enacted.

On February 16th, a new law about Unfair Competition was enacted.
This legal body defines those acts against fair competition sanctionable under the law, as well as specifies the remedies and the procedure that must be followed by the courts. Likewise, the law grants the possibility to get the application of penalties against the infractor in certain cases.
This is the first time that a specific legal body is enacted to treat unfair competition in Chile.

Disposal of Colegio El Bosque Provincia Cordillera to Educa UC and Fondo Independencia S.A.

Amendments to the Chilean Labor Code

On December 16, 2006, an important amendment to the Chilean Labor Code was enacted by means of Law 20,137.
The changes introduced to the Labor Code are the following:
a) Increase of the number of days of leave in case of the death of the wife, husband or children of the worker.
b) New leave in case of the death of the parents or unborn children of the worker.
c) Increase of the number of days of leave in case of birth of a children of the worker.
d) For a limited time, workers mentioned in (a) shall not be dismissed without prior authorization granted by Labor Courts.
We remind you that all fore mentioned labor leaves shall be paid by employer.
